This proxy is solicited by and on behalf of the Board of Directors of the Southern Delaware Alliance for Racial Justice, Inc. (the Alliance).

Please read a message from our Chair, Clara S. Licata:

I am excited to invite you to SDARJ’s fifth Annual Meeting – an opportunity to hear about SDARJ’s 2024 accomplishments, and a preview of programs/activities for the remainder of 2025. Your participation and voting are critical elements of our meeting, and I hope you will attend “in person”, Zoom here, or provide your proxy (as described below) so that we can have the necessary quorum for the election of members of our Board of Directors, the only formal action proposed to be taken at the meeting.

The slate of candidates for election to the Board of Directors appears below.

Nominations “from the floor” may be made by emailing us before 5:00 pm on May 13th, 2025.

Early Proxy Voting: It is important that we get enough member participation to give us the quorum necessary to conduct business. If you cannot participate in the meeting, we urge you to vote early by either (a) using the electronic voting form that appears below [Monika will add link] or (b) completing the form that was sent to you with the notice of the meeting and mailing it to SDARJ at PO Box 306, Lewes, DE 19958 early enough so that it will be received by May 13. By using early voting, you will be appointing proxies Clara Licata and Stacie Burton, or either of them acting alone, to represent you at the meeting or any adjournment thereof and formally cast your votes on your behalf.

We appreciate your support and participation in the important work of the Southern Delaware Alliance for Racial Justice. Please join us on May 14 for our meeting.

Voting by proxy

This is the easiest way to vote. Voting by proxy means that you are giving each person named in the proxy form below (Proxyholder) the authority to vote on your behalf, and you do not need to participate in the Meeting to vote. If you are voting by proxy, you must have done so by (a) completing the below form before 5 p.m. (Eastern time) on Tuesday May 13, 2025 or (b) mailing to us the form sent to you with the notice of the Meeting so that it is received by close of business on May 13, 2025.

In the proxy form, “you and your” refer to you as a member of the Alliance. “We, us, and our” refer to the Alliance.

This proxy is solicited by and on behalf of the Alliance’s Board of Directors .

This form revokes all proxy forms you have previously signed that relate to the Meeting. It will be accepted as a valid proxy only if it has been signed electronically as provided below.

By signing below you will be authorizing Clara Licata and [Stacie Burton] or either of them acting alone to serve as your proxyholder(s) and to participate in the Meeting or any adjournment thereof and vote on your behalf.

Your proxy will vote as you specify below. If you check “Authority to Vote Withheld” you will be counted as present at the meeting but abstaining from voting. If you do not specify how you want to vote, the persons named as proxyholders intend to cast the votes represented by proxy at the Meeting as recommended by the Board of Directors of the Alliance.

The proxyholder(s) may vote as they see fit on any changes to the slate of nominees and on any other items that may properly come before the Meeting or any adjournment.
